Terms of Service

Version Oct 17, 2026

Draft for review by counsel. This text outlines the intended structure and standard terms. It is not legal advice and will be replaced with counsel-approved language before AminoLiance accepts customers.

The agreement between AminoLiance and the practice that subscribes, covering accounts, billing, data ownership and acceptable use.

1. The service

AminoLiance provides hosted software for licensed healthcare practices to manage patient records, compliance forms and electronic signatures, treatment protocols, billing, inventory and reporting (the “Service”).

The practice that subscribes (“you”) is our customer. The person accepting these terms confirms they are authorized to bind the practice.

2. Accounts and users

Each person who uses the Service needs their own account. You decide who receives access and with which role, and you remove access promptly when someone leaves.

Users must keep their credentials confidential and use two-factor authentication where your practice or AminoLiance requires it.

3. Subscription, billing and trials

Subscriptions are priced per active user and billed monthly or annually in advance through our payment processor. Adding users adds prorated charges; removing users reduces future charges.

Trials include the chosen plan at no charge until the trial end date. Without a payment method, the workspace becomes read-only when the trial ends.

You may cancel at any time; access continues until the end of the paid period, after which the workspace is read-only so you can retrieve your records. Fees already paid are not refunded except where required by law. [Counsel: confirm refund and price-change notice terms.]

4. Your data

You own the data you and your patients enter. We process it only to provide and support the Service, as described in the Business Associate Agreement for protected health information.

You can export your data at any time. After termination we keep it available for export for [90] days, then delete or return it as the Business Associate Agreement requires.

5. Acceptable use and clinical responsibility

The Service supports, and does not replace, the professional judgment of your clinicians. Calculators, forecasts and templates are aids; the prescriber's order governs.

Form templates, including consent forms, are provided as starting points. You are responsible for having counsel review the forms you use for your jurisdiction.

You will not use the Service unlawfully, attempt to access other practices' data, or interfere with its security.

6. Security and availability

We maintain administrative, physical and technical safeguards described on our Security page and in the Business Associate Agreement. [Counsel: service-level and support commitments.]

7. Warranties, liability and indemnities

[To be completed by counsel: disclaimers, limitation of liability, indemnification, insurance.]

8. General

[To be completed by counsel: changes to these terms, notices, governing law and venue, assignment, entire agreement.]
